CONSIGNMENT AGREEMENT
This Consignment Agreement (this "Agreement") is entered into and effective as of ________________ between ________________ ("Consignor") and ________________ ("Consignee").
1. PARTIES. This Agreement is made between ________________, the owner of the goods, and ________________, who will offer the goods for sale on consignment.
2. CONSIGNED GOODS. The Consignor delivers to the Consignee the following goods for sale (the "Goods"): ________________. Title to the Goods remains with the Consignor until each item is sold to a buyer.
3. TERM. This Agreement covers the following consignment period: ________________. Either party may end the arrangement earlier as provided below, and the period may be extended by written agreement.
4. PRICING. The retail price of the Goods shall be set as follows: ________________. The Consignee shall not sell any item below the agreed price without the Consignor's approval.
5. COMMISSION AND PAYMENT. The Consignee shall retain a commission of ________________ of the sale price of each item sold, and shall remit the balance to the Consignor ________________. Each payment shall be accompanied by a statement of the items sold and their sale prices.
6. CARE OF THE GOODS. The Consignee shall store and display the Goods with reasonable care and shall keep them separate and identifiable as consigned property. The Consignee is responsible for loss, theft, or damage to the Goods while they are in the Consignee's possession, except for normal handling.
7. NO TRANSFER OF TITLE. The Consignee acquires no ownership interest in the Goods. Until an item is sold, the Goods remain the property of the Consignor and are not subject to the claims of the Consignee's creditors. The Consignor may file a financing statement to give public notice of its interest where permitted by law.
8. RECORDS AND REPORTING. The Consignee shall keep accurate records of all sales of the Goods and shall make those records available to the Consignor on reasonable request. The Consignee shall provide the Consignor with periodic statements of items sold, amounts due, and unsold inventory.
9. UNSOLD GOODS. At the end of the consignment period, any unsold Goods shall be ________________. The Consignor may reclaim unsold Goods at any time on reasonable notice unless the parties agree otherwise in writing.
10. RISK OF LOSS AND INSURANCE. The Consignee bears the risk of loss for the Goods while they are in its possession and shall maintain insurance reasonably adequate to cover the value of the Goods, unless the parties agree otherwise in writing.
11. TERMINATION. Either party may end this Agreement by giving written notice to the other. On termination, the Consignee shall pay the Consignor all amounts owed for items sold and shall return all unsold Goods to the Consignor as provided in this Agreement.
12. GOVERNING LAW. This Agreement is governed by the laws of the State of ________________. If any provision is found unenforceable, the remaining provisions stay in full effect. This Agreement is the entire agreement between the parties regarding the consignment and may be changed only in writing signed by both parties.
