SERVICE AGREEMENT
This Service Agreement (this "Agreement") is entered into and effective as of ________________ between ________________ (the "Provider") and ________________ (the "Client").
1. PARTIES. This Agreement is made between ________________, as Provider, and ________________, as Client, for the performance of the services described below.
2. SERVICES. The Provider shall perform the following services (the "Services"): ________________. The Provider shall perform the Services in a professional and workmanlike manner consistent with industry standards. Any work outside this scope requires a separate written agreement or change order.
3. TERM. The Provider shall begin the Services on ________________ and continue until ________________, unless this Agreement is ended earlier as provided below.
4. FEES AND PAYMENT. The Client shall pay the Provider the following fees: ________________. Payment is due on the following schedule: ________________. Undisputed amounts not paid when due may accrue interest and reasonable collection costs as allowed by law.
5. CLIENT RESPONSIBILITIES. The Client shall provide timely access, information, materials, approvals, and cooperation reasonably needed for the Provider to perform the Services. Delays caused by the Client may extend deadlines and increase fees.
6. INDEPENDENT CONTRACTOR RELATIONSHIP. The Provider is an independent contractor and not an employee, partner, or agent of the Client. The Provider controls the means and methods of performing the Services and is responsible for its own taxes, insurance, and personnel.
7. CONFIDENTIALITY. Each party shall keep confidential the nonpublic information of the other party learned in connection with the Services and shall use it only to perform or receive the Services. This obligation continues after this Agreement ends.
8. OWNERSHIP OF DELIVERABLES. Upon full payment, the deliverables the Provider creates specifically for the Client under this Agreement become the property of the Client. The Provider may retain and reuse its general skills, know-how, tools, and pre-existing materials.
9. WARRANTIES AND DISCLAIMER. The Provider warrants that the Services will be performed in a professional manner. Except for this warranty, the Services and deliverables are provided as is, and the Provider disclaims all other warranties to the extent permitted by law.
10. LIMITATION OF LIABILITY. Neither party is liable for indirect, incidental, or consequential damages arising from this Agreement. Each party's total liability is limited to the fees paid or payable under this Agreement, except where such limits are not permitted by law.
11. TERMINATION. Either party may end this Agreement by giving written notice to the other. Upon termination, the Client shall pay the Provider for all Services properly performed through the termination date, and the Provider shall deliver all completed and paid-for work product to the Client.
12. GOVERNING LAW. This Agreement is governed by the laws of the State of ________________. If any provision is found unenforceable, the remaining provisions stay in full effect. This Agreement is the entire agreement between the parties regarding the Services and may be changed only in writing signed by both parties.
