PURCHASE AGREEMENT
This Purchase Agreement (this "Agreement") is entered into and effective as of ________________ between ________________ ("Seller") and ________________ ("Buyer").
1. PARTIES. This Agreement is made between ________________, as Seller, and ________________, as Buyer, for the sale and purchase of the property described below.
2. DESCRIPTION OF PROPERTY. The Seller agrees to sell, and the Buyer agrees to buy, the following (the "Property"): ________________.
3. PURCHASE PRICE. The total purchase price for the Property is $ ________________. The Buyer shall pay a deposit of $ ________________ on signing this Agreement, with the balance due as provided below. The deposit is applied to the purchase price at closing.
4. PAYMENT TERMS. The purchase price shall be paid as follows: ________________. All payments shall be made in a form reasonably acceptable to the Seller.
5. DELIVERY AND CLOSING. The sale shall close and the Seller shall deliver the Property to the Buyer on or about ________________. At closing, the Seller shall provide any title, bill of sale, keys, or documents needed to transfer ownership.
6. TITLE AND RISK OF LOSS. Title to the Property passes to the Buyer upon delivery and payment of the balance due. Risk of loss or damage to the Property remains with the Seller until title passes to the Buyer.
7. CONDITION OF PROPERTY. The Property is sold on the following basis: ________________. The Buyer acknowledges the stated condition and any disclosed defects.
8. SELLER REPRESENTATIONS. The Seller represents that it has good title to the Property, that the Property is free of liens and undisclosed claims, and that the Seller has the authority to sell it. These representations survive the closing.
9. INSPECTION. The Buyer may inspect the Property before closing at a reasonable time agreed by the parties. If the Property does not materially match its description, the Buyer may cancel this Agreement and recover the deposit.
10. DEFAULT AND REMEDIES. If the Buyer fails to pay as agreed, the Seller may cancel the sale and pursue remedies allowed by law. If the Seller fails to deliver the Property as agreed, the Buyer may recover the deposit and pursue remedies allowed by law. The parties shall act in good faith to resolve any dispute.
11. GOVERNING LAW. This Agreement is governed by the laws of the State of ________________. If any provision is found unenforceable, the remaining provisions stay in full effect. This Agreement is the entire agreement between the parties regarding the Property and may be changed only in writing signed by both parties.
