INDEPENDENT CONTRACTOR AGREEMENT
This Independent Contractor Agreement (this "Agreement") is entered into and effective as of ________________ between ________________ ("Client") and ________________ ("Contractor").
1. PARTIES. This Agreement is made between ________________, as Client, and ________________, as Contractor. The Contractor is engaged to perform the Services described below as an independent contractor.
2. SERVICES. The Contractor shall perform the following services (the "Services"): ________________. The Contractor shall perform the Services in a professional and workmanlike manner consistent with industry standards.
3. TERM. The Contractor shall begin the Services on ________________ and continue until ________________, unless this Agreement is ended earlier as provided below.
4. COMPENSATION. The Client shall pay the Contractor as follows: ________________. Unless otherwise stated, payment is due within a reasonable time after the Contractor submits an invoice, and undisputed late amounts may accrue interest as allowed by law.
5. EXPENSES. Responsibility for expenses is as follows: ________________. Any reimbursable expense must be documented with a receipt where reasonably available.
6. INDEPENDENT CONTRACTOR STATUS. The Contractor is an independent contractor and not an employee, partner, joint venturer, or agent of the Client. The Contractor controls the means and methods of performing the Services, is responsible for all federal, state, and local taxes on amounts paid, and is not entitled to any employee benefits. Neither party may bind the other to any obligation without prior written consent.
7. EQUIPMENT AND TOOLS. The Contractor shall provide the Contractor's own tools, equipment, and workspace needed to perform the Services, unless the parties agree otherwise in writing.
8. OWNERSHIP OF WORK PRODUCT. Upon full payment, all deliverables and work product the Contractor creates specifically for the Client under this Agreement become the property of the Client, and the Contractor assigns to the Client all rights in that work product. The Contractor may retain and reuse general skills, know-how, and pre-existing materials it owned before this engagement.
9. CONFIDENTIALITY. The Contractor shall keep confidential all nonpublic information of the Client learned in connection with the Services and shall use it only to perform the Services. This obligation continues after this Agreement ends.
10. TERMINATION. Either party may end this Agreement by giving written notice to the other. Upon termination, the Client shall pay the Contractor for all Services properly performed and expenses properly incurred up to the termination date, and the Contractor shall deliver all completed and in-progress work product to the Client.
11. INDEMNIFICATION AND LIABILITY. Each party shall indemnify the other against claims, losses, and expenses arising from its own negligence or breach of this Agreement. Neither party is liable for indirect, incidental, or consequential damages, and total liability is limited to the amounts paid under this Agreement, except where limits are not permitted by law.
12. GOVERNING LAW. This Agreement is governed by the laws of the State of ________________. If any provision is found unenforceable, the remaining provisions stay in full effect. This Agreement is the entire agreement between the parties regarding the Services and may be changed only in writing signed by both parties.
