HOLD HARMLESS AGREEMENT
This Hold Harmless Agreement (this "Agreement") is entered into and effective as of ________________ between ________________ (the "Indemnifying Party") and ________________ (the "Protected Party").
1. COVERED ACTIVITY. This Agreement applies to the following activity, work, or purpose (the "Activity"): ________________. The Indemnifying Party takes part in or benefits from the Activity and accepts the risks associated with it.
2. HOLD HARMLESS AND INDEMNIFICATION. The Indemnifying Party shall hold harmless, indemnify, and defend the Protected Party and its owners, officers, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorney fees, arising out of or connected with the Activity.
3. SCOPE OF PROTECTION. The protection under this Agreement is ________________. Nothing in this Agreement requires the Indemnifying Party to indemnify the Protected Party to an extent prohibited by law.
4. ASSUMPTION OF RISK AND INSURANCE. The Indemnifying Party assumes full responsibility for any risk of injury, loss, or damage arising from the Activity and agrees to maintain any insurance reasonably needed to support the obligations in this Agreement. This Agreement binds and benefits the parties and their heirs, successors, and assigns.
5. GOVERNING LAW. This Agreement is governed by the laws of the State of ________________. If any provision is found unenforceable, the remaining provisions stay in full effect, and any overbroad provision shall be limited only as much as needed to make it enforceable. This Agreement is the entire agreement between the parties regarding the Activity and may be changed only in writing signed by both parties.
