This Memorandum of Understanding (this "MOU") is entered into and effective as of ________________ between ________________ and ________________ (each a "Party" and together the "Parties").
1. PARTIES AND PURPOSE. This MOU is made between ________________ and ________________. The Parties enter into this MOU for the following purpose: ________________. This MOU records the Parties' mutual understanding and intent to work together toward that purpose.
2. SCOPE OF COOPERATION. The Parties intend to cooperate as follows: ________________. The Parties shall work in good faith and communicate regularly to carry out the goals of this MOU.

7. NON-BINDING NATURE. This MOU is a statement of the Parties' mutual intent and, except for the sections on Confidentiality and Governing Law, is not intended to be a legally binding or enforceable contract. It does not create a partnership, joint venture, agency, or employment relationship between the Parties, and neither Party may bind the other to any obligation.
8. CONFIDENTIALITY. Each Party shall keep confidential the nonpublic information it receives from the other Party in connection with this MOU and shall use it only to carry out the purpose stated above. This obligation continues after this MOU ends.
9. TERMINATION. Either Party may end this MOU at any time by giving written notice to the other Party. On termination, each Party shall return or destroy the other Party's confidential materials on request and shall wind down joint activities in good faith.
10. GOVERNING LAW. This MOU is governed by the laws of the State of ________________. This MOU is the entire understanding between the Parties regarding its subject and may be changed only in writing signed by both Parties.
