1. APPOINTMENT OF AGENT. The Principal appoints ________________, of ________________, as the Principal's agent and attorney-in-fact (the "Agent") to act for the Principal as set out in this document.
2. ALTERNATE AGENT. If the Agent is unable or unwilling to serve, the Principal appoints ________________ to serve as successor Agent with the same authority granted to the original Agent.

8. REIMBURSEMENT AND COMPENSATION. The Agent is entitled to reimbursement for reasonable expenses incurred in acting under this Power of Attorney. The Agent shall serve without compensation unless the Principal has agreed otherwise in writing.
9. REVOCATION. The Principal may revoke this Power of Attorney at any time by giving written notice to the Agent. This document revokes any prior power of attorney covering the same matters, except as the Principal states in writing.
10. GOVERNING LAW. This Power of Attorney is governed by the laws of the State of ________________. If any provision is found unenforceable, the remaining provisions stay in full effect.
